All-in IT provides managed IT services, cybersecurity solutions, data management, disaster recovery, and IT consulting services to businesses. Specific services and terms will be outlined in individual service agreements or statements of work.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of services.

3. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt our services or servers
  • Use our services to transmit malicious code or conduct harmful activities
  • Impersonate All-in IT or any of our employees or representatives

4. Client Responsibilities

As a client of All-in IT, you are responsible for:

  • Providing accurate and complete information necessary for service delivery
  • Maintaining the confidentiality of any account credentials we provide
  • Notifying us promptly of any security breaches or unauthorized access
  • Complying with all applicable laws and regulations regarding your use of our services
  • Making timely payments as outlined in your service agreement
  • Providing reasonable access to systems and facilities as needed for service delivery

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Fees are due as specified in your service agreement
  • Late payments may incur additional fees and service suspension
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to adjust pricing with 30 days' notice
  • You are responsible for all applicable taxes

6. Intellectual Property

All content on our website and materials provided as part of our services, including but not limited to text, graphics, logos, images, and software, are the property of All-in IT or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Any custom work or deliverables created specifically for you will be addressed in your service agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of services.

Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by law, All-in IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you.

9. Warranties and Disclaimers

We strive to provide high-quality services, but our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we implement reasonable security measures, we cannot guarantee absolute security of data or systems.

10. Indemnification

You agree to indemnify, defend, and hold harmless All-in IT, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate services according to the terms specified in the service agreement. We reserve the right to suspend or terminate services immediately if:

  • You breach these Terms or your service agreement
  • Your account becomes delinquent
  • Your use of services poses a security risk
  • Required by law or legal authority

Upon termination, you remain responsible for all fees incurred up to the termination date, and certain provisions of these Terms will survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in Broward County, Florida.

13. Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If resolution cannot be reached within 30 days, either party may pursue other remedies as provided by law.

14. General Provisions

Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and All-in IT regarding the use of our services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
